12.违约(Breakingthecontract):

12.1若超过装运期限卖方每天必须向买方支付货物总价款0.5%的违约金。Thesellersmustpaythebuyers0.5%ofthepriceofallthegoodsperdayforbreakingthecontractofshippingtime.

12.2如果延期超过5天卖方须向买方支付货物总价款5%的违约金。与此同时,买方保留是否继续履行合同的决定权。

4)房屋交付:甲方于收到乙方全部转让款项当日,将该房地产交付乙方,双方应签署《房屋交接书》。交付前的物业管理费及公用事业费由甲方承担,交付后的物业管理费及公用事业费由乙方承担。固定装修、附属设施设备以及经甲乙双方确认的家电、家具等价格已经包含在该房地产转让总价款内,甲方须保证该房屋内附属设施、设备均能正常使用及室内装饰与签订买卖合同之日的状况相符。

4)Delivery.Atthedateonwhichalltransferprices,partyAshalldeliverthisrealestatetoParty

BandtheCertificateofTransferandHandovershallbeconcludedbythePartiestherefore.PropertyManagementFeesandUtilitiesExpensesarisingoutoforinconnectionwiththisrealestateshallbebornebyPartyApriortosuchdelivery,orshallbebornebyPartyBuponsuchdelivery.

Chargesorexpensesrelatedtothefixturesandancillaryequipments&facilitiesofthisrealestate,aswellasthepricesofhomeappliancesandfurnitureagreedbytheParties,havebeenincludedinthetransferpriceandPartyAguaranteethatallsuchancillaryequipments&facilitiesmayworkproperly,allinteriordecorationsthereofsatisfytheconditionsprovidedherein.

5)相关费用:MiscellaneousCharge.

甲方保证该房地产产权清晰、权属明确,无异议登记、单方预告登记,无司法、行政查封等限制性交易情形存在;若因本条所述情况导致本协议效力瑕疵,甲方应返还乙方所有已付房款并赔偿乙方实际损失。

五、【争议解决】

6.DISPUTESETTLEMENT

各方在本协议履行过程中发生争议的,应友好协商;协商不成的,应向该房地产所在地人民法院起诉。

六、【合同效力】

本协议自甲、乙双方签署起对甲、乙生效,丙方签署后对丙方生效,一式三份,甲、乙、丙三方各执一份。

9.乙方应按合同的规定,按时支付租金,保证金及其他各项应付费用。

9.2乙方应爱护使用出租房屋,如因乙方的过失或过错致使房屋设施及屋内用具和饰品受到损坏(正常损耗除外),乙方应负赔偿责任。

9.3乙方应按本合同的约定合法使用出租房屋,不得擅自改变使用性质,不应存放中华人民共和国法律下所禁止的危险物品,如因此发生损害,乙方应承担全部责任。

9.4未经甲方事先书面同意,乙方不得将出租房屋转租或租给其他的第三者。

十、违约处理:

10.1甲、乙任何一方如未按本合同的条款履行,构成违约,应承担相应的违约责任。双方同意违约方应赔偿守约方之直接损失人民币____________元。

10.2乙方有下列行为之一的,甲方有权终止本合同,收回出租房屋,并且保证金不予返还;

a.未得甲方书面书面同意,将出租房屋擅自转租;

b.未得甲方同意将出租房擅自拆改结构或改变用途的:

altersthestructureoftheleasedpropertyorusestheleasedpropertyotherthanforthepurposestartedhereinwithoutpartya’sconsent;

c.无故拖欠租金超过三天(除双方就本合同存在争议除外)。

failstopayrentwithoutanyreasonformorethanthirty(30)daysaftertheduedateexceptwherethereisadiuteinreectofthisagreement.

十一、适用法律:

applicablelaw:

本合同的成立,其有效性、结实、签署和解决与其他有关的一切纠纷均应受中国法律的管辖并依据中国法律解释。

theformationofthisagreement,itsvalidity,interpretation,executiongandsettlementofanydiutesarisinghereundershallbegovernedbyandconstruedinaccordancewiththelawsofthepeople’srepublicofchina.

十二、争议的解决:

diuteresolution:

凡因执行本合同所产生的或与本合同有关的一切争议,双方应通过友好协商解决;协商不成,应提交中国国际经济贸易仲裁委员会,按其仲裁规则和中华人民共和国仲裁法进行仲裁。仲裁解决是终局的,对双方都有约束力。

inthecaseofdiutesarisingoverthisagreementofanymattersrelatedhereto,thepartiesshallnegotiateingoodfaithtoresolvesuchdiutes.ifsuchnegotiationfails,thepartiesshallsubmitthediutetoarbitrationbythechinainternationaleconomicandtradearbitrationcommissioninaccordancewithitsarbitrationrulesandthearbitrationlawofthepeople’srepublicofchina.thedecisionofthearbitrationbodyisfinalandshallbebindingonthepartieshereto.

十三、其他

13.1本合同如有未尽事宜,由甲、乙双方洽谈解决。

13.2本合同由中、英文写成,两种文本具有同等效力。

13.3本合同经双方签字后立即生效,未经双方同意,不得任意终止或修改,本合同另有约定除外,本合同一式二份,甲、乙双方各执一份。
